1. About these Terms
These Terms of Service govern your access to and use of Pementek websites, APIs, software, dashboards, checkout experiences, payment services, payout services and related products and services.
By accessing or using Pementek, you agree to these Terms and any additional agreement entered into between you and Pementek.
2. Eligibility and accounts
You must have the legal authority to enter into these Terms on behalf of yourself or the business you represent.
You are responsible for maintaining accurate account information and protecting credentials, API keys and other authentication information associated with your account.
You must promptly notify Pementek if you believe an account, credential or API key has been compromised.
3. Pementek services
Pementek provides payment orchestration infrastructure that can help businesses access supported local wallets, mobile money systems and market-specific payment methods through a unified integration.
Available services, payment methods, countries, currencies and functionality may vary based on your account, commercial agreement, market and applicable requirements.
Pementek may use third-party payment providers, financial services, communications infrastructure and other service providers to deliver parts of the service.
4. Payments and payouts
You are responsible for providing accurate transaction information and ensuring that payment or payout requests are authorized and lawful.
Transaction processing may be asynchronous. A transaction may move through multiple processing, verification or reconciliation states before a final result is available.
You must rely on Pementek's server-side transaction status, API responses and signed webhooks rather than browser redirects or other client-side indicators as the authoritative transaction result.
5. API use
You may use Pementek APIs only for your authorized business purposes and in accordance with documentation and applicable agreements.
You must protect API credentials, use supported authentication mechanisms and follow applicable technical and security requirements.
You must not attempt to bypass security controls, interfere with platform operation, reverse engineer restricted components or access systems or data without authorization.
6. Prohibited use
You may not use Pementek for unlawful, fraudulent, deceptive or abusive activity.
You must not use the service in violation of sanctions, anti-money laundering requirements, payment network rules, consumer protection laws or other applicable laws and regulations.
Pementek may restrict or suspend activity where necessary to protect users, infrastructure, service providers or the integrity of the platform.
7. Fees and settlement
Fees, pricing, settlement arrangements, reserves and other commercial terms are governed by the applicable merchant agreement, pricing schedule or other agreement between you and Pementek.
8. Availability
Pementek works to provide reliable services, but payment systems can depend on telecommunications networks, financial institutions, payment providers and other third parties outside Pementek's direct control.
We do not guarantee uninterrupted operation of every payment method, provider, route or external service at all times.
9. Intellectual property
Pementek and its licensors retain all rights in the Pementek platform, software, APIs, documentation, designs, trademarks and other proprietary materials.
These Terms do not transfer ownership of Pementek intellectual property to you.
10. Confidentiality
Non-public technical, commercial, security and business information disclosed in connection with the service should be treated as confidential where its nature or circumstances reasonably indicate confidentiality.
11. Suspension and termination
Pementek may suspend or restrict access where reasonably necessary for security, suspected fraud, legal requirements, non-payment, material breach or protection of platform integrity.
Termination rights and any related settlement obligations may also be governed by your merchant or commercial agreement.
12. Disclaimers
Except where prohibited by law or expressly agreed otherwise, Pementek services are provided on an "as available" basis.
Pementek does not guarantee that every transaction will complete successfully or within a particular period because transaction processing can depend on third-party systems and external payment networks.
13. Limitation of liability
To the maximum extent permitted by applicable law, Pementek will not be liable for indirect, incidental, special, consequential or punitive damages arising from use of the service.
Any additional limitation of liability applicable to your account may be described in your merchant or commercial agreement.
14. Changes to these Terms
We may update these Terms as our services, legal requirements or business practices change.
The effective date at the top of this page indicates when the current version became effective.
15. Governing terms
Where you have a separate merchant, enterprise or commercial agreement with Pementek, that agreement may contain additional terms and will control where it expressly conflicts with these Terms.
Applicable governing law and dispute resolution provisions may be specified in the agreement with the Pementek entity providing services to you.
